BY-LAWS

I. Membership. There shall be two classes of members as follows:

A. Institutional Membership. Institutional membership in TAEE shall be extended to any Texas institution that prepares teachers or other personnel responsible for recruitment or hiring for service in public or private schools, colleges or universities. Such membership qualifies the institution to have one vote on association business.

B. Associate Membership. Not-for-profit organizations whose activities include providing information or services relating to education are eligible for this membership. Also, former members of TAEE are eligible for this membership. Associate members have all the rights and privileges of institutional members with the exception of voting and holding office.

II. Dues and Fiscal Year:

A. All membership dues shall be determined by the Executive Committee.

B. The fiscal year shall be January 1 through December 31.

III. Officers:

A. The officers of TAEE shall be:

President - Elected for a one-year term.
First Vice-President - Elected for a one-year term.
Second Vice-President - Elected for a one-year term.
Secretary/Treasurer - Elected for a one-year term.

B. Officers may be elected to serve no more than two consecutive terms in the same office.

C. The officers shall be elected during the annual conference and will take office immediately following the conference.

D. Duties of the officers shall include, but not be limited to, the following:

1. President:

a) Provides leadership in conducting business of the association.

b) Appoints committee chairs and committee members unless otherwise designated. Makes other appointments as appropriate.

c) Presides during the annual business meeting.

d) Meets, or otherwise communicates, with Texas Association of School Personnel Administrators (TASPA) officers and/or committees when planning cooperative efforts.

e) Presides as chair of the Executive Committee.

f) Serves as TAEE liaison to AAEE and TASPA, as well as other associations, and communicates appropriate information to them.

2. First Vice-President:

a) Assumes primary responsibility for planning the TAEE portion of the program for the annual conference in cooperation with TASPA. Meets with the TASPA Executive Committee or Program Committee to develop the joint annual conference.

b) Presides at membership meetings in the absence of the President.

c) Assumes responsibility for securing the plaque to be presented to the outgoing President. (The Secretary/Treasurer will maintain the document describing the plaque.)

d) Coordinates scholarship opportunities for students of member schools.

3. Second Vice-President:

a) Markets TAEE membership to university career/placement officers and Texas public school district personnel administrators.

b) Serves as public relations specialist by promoting TAEE through related publicity efforts.

4. Secretary/Treasurer:

a) Keeps and distributes the minutes of the annual business meeting. Records minutes of any meeting of the Executive Committee.

b) Prepares and distributes the TAEE Directory.

c) Preserves all appropriate documents or transactions.

d) Maintains accurate records of all financial business of the association. During the annual business meeting, presents a written report of income and expenditures for the previous year.

e) Receives membership fees and distributes receipts. Maintains an accurate membership roster with current titles, addresses, and telephone numbers.

f) Pays all association bills.

g) Mails to members timely notices regarding the annual conference. Mails other announcements when appropriate.

h) Prepares and mails early in the fall semester a list of Career Fair dates to TAEE/TASPA members.

IV. Committees:

A. There shall be an Executive Committee composed of the officers and the Immediate Past President. This committee shall have authority to act for the association in all matters except the election of the officers and final approval of amendments to the constitution and by laws. It shall have the power to fill vacancies that occur between elections for all officers except that of the President, which shall be filled by the Vice-President for the remainder of the term.

B. There shall be a Nominating Committee appointed by the President at least ninety days prior to the annual conference. This committee shall present to the membership in attendance at the business meeting conducted during the annual conference the name of one nominee for each office to be filled. Nominations from the floor shall be in order.

C. The President shall have the authority to appoint other committees.

V. Meetings:

The time and place for the annual conference shall be set by the Executive Committee
in cooperation with the Texas Association for School Personnel Administrators
(TASPA).

VI. Amendments to the Constitution or By-Laws:

A. Recommended constitutional amendments shall be presented to the membership in writing at least thirty days prior to the annual conference. A two-thirds vote of the members present at the annual business meeting is required for adoption.

B. Recommended amendments of the by-laws shall be presented in writing to the Executive Committee at least thirty days prior to the annual conference. If approved by the Executive Committee, the President will present the recommended amend-
ment (s) during the annual business meeting. A two-thirds vote of the members present is required for adoption.
